BUSINESS LITIGATION & CORPORATE DIVORCE

We “wrote the book” on this topic, so to speak. In 2019, Alto partner Bahram Seyedin-Noor co-authored “Litigating and Judging California Business Entity Governance Disputes,” Ch. 2 (“Corporations: Ownership, Management & Control Disputes”); published by Matthew Bender, 2019 (available here). That chapter reflects the decades of experience Alto attorneys have representing clients of all types in a wide variety of inter-business and corporate control disputes. Regardless of whether the dispute is between businesses or among different factions of a single entity, we litigate zealously and employ creative solutions to achieve our clients’ goals.

We have particular expertise in:

  • Complex commercial disputes

  • Corporate control / Founders’ disputes

  • Earn-Out disputes

  • Breaches of fiduciary duties

  • Director/Shareholder inspection rights

REPRESENTATIVE MATTERS

  • Secured seven-figure settlement in dispute relating to engineering development project.

  • Successfully negotiated separation terms (monetary and non-monetary) for co-founder of prominent blockchain startup.

  • After initiating litigation on behalf of co-founder of subscription box startup, secured settlement in which opposing co-founder surrendered all equity in the business.

  • Secured settlement on behalf of former employees and shareholders of biotech company in lawsuit against company’s co-founders and senior executives based on allegations of fraud, embezzlement and self-dealing.

  • Currently defending HR startup, its co-founder/CEO, and director in lawsuit by opposing co-founder asserting claims of, inter alia, fraud, breaches of fiduciary duty, breach of contract, and violation of shareholder/director inspection rights. Through early forum non conveniens motion practice, successfully stayed numerous claims.
